The EBRD urged the Ministry of Energy not to weaken the requirements for the independence of supervisory boards – People’s Deputy

The European Bank for Reconstruction and Development has called on the Ministry of Energy of Ukraine to completely remove the amendments to the weakening of the independence of supervisory boards on the statutes as NEC “Ukrenergo” and other state -owned companies (operator of GTS of Ukraine and Ukrhydroenergo).

“I received a copy of the letter from the EBRD to the Ministry of Energy (I add below), in which the bank stated that the introduction of a qualified majority requirement for decisions of the Supervisory Board increases the risk of political influence on the appointment of management, and is a step back in corporate governance reform,” the People’s Deputy said.

He recalled that the EBRD is the largest lender of NEC “Ukrenergo”, “and other international financial institutions that finance (including donors) Ukrainian energy system are focused on his position.”

“NEC” Ukrenergo “, as well as the GTS operator of Ukraine is currently in the process of competitive selection of new executives, and the Ministry of Energy, contrary to Ukraine’s international obligations, seeks to obtain manual control over these companies by strengthening its influence in their supervisory boards,” Khlapuk said.

He emphasizes that the changes made by the Ministry of Energy to Ukrenergo and the GTS operator of Ukraine do not meet international standards and the best practices of corporate governance and carry risks for both the activities of companies and to pass the next heating season.
